These Wholesale Terms of Service (the “Wholesale Terms”) govern the use of the SellePack wholesale fulfillment platform (the “Platform”) by approved merchants, resellers, and partner organizations (each, a “Wholesale Merchant”). By creating a SellePack wholesale account, funding a wallet, or generating a shipping label, the Wholesale Merchant agrees to be bound by these Wholesale Terms together with the Regulatory Disclosure and Shipping Terms & Policy linked below.
SellePack wholesale accounts are made available by approval only. The Platform reserves the right to require KYC documentation, business registration, beneficial ownership disclosure, and merchant processing history prior to activation, and to suspend or terminate any account that no longer satisfies underwriting standards. Wholesale Merchants must be operating a legitimate business and may not resell SellePack services to consumers without written authorization.
Wholesale Merchants are billed on the published wholesale rate card, which applies a 50% reduction to the standard SellePack platform surcharge schedule. Wholesale pricing is offered in exchange for minimum monthly volume, prepaid wallet funding, and acceptance of these Wholesale Terms. Volume thresholds, where required, are stated on the merchant’s account profile and may be updated by the Platform with thirty (30) days’ notice.
All wholesale charges are payable on demand. Settlement is supported through (a) the SellePack pre-funded wallet, (b) Stripe (live mode), (c) NMI / Companeze gateway, (d) certified funds (wire / ACH), or (e) any other merchant account expressly approved by the Platform in writing. The Wholesale Merchant remains the merchant of record with respect to its own customers and maintains direct contractual relationships with its payment processors and banks.
The SellePack wallet is a pre-funded ledger used for operational debits (label costs, surcharges, smart service fees, insurance premiums). The wallet is not an escrow service, a deposit account, or a money-transmission product. Funds remain operating balances of the Wholesale Merchant against future Platform charges and are refundable, net of incurred fees, upon written request.
Smart Services (Smart Seller, Smart Track, Smart Start, Smart ID, Smart Ship, Smart Verify, Selle Check), buyer-notification services (SelleSend), fraud-screening services (SelleVerify), and third-party shipment-protection products are optional add-ons billed per shipment. Insurance products in excess of $15,000 declared value require pre-approval by the underwriter and may require additional documentation.
Where the Wholesale Merchant has opted into Selle Check protection for a transaction, the Platform’s guarantee is governed by the protection tier selected at booking (Standard / Enhanced / Premium). The guarantee covers qualifying chargebacks only; it is not insurance, and it is conditioned upon timely payment of all Platform invoices.
SellePack does not extend trade credit. Charges are due on demand. If a wallet falls below zero or a credit-card capture fails, the Platform may suspend service, refuse new label generation, and rebill any post-shipment carrier surcharges. Unpaid balances after thirty (30) days may be referred to collections and result in account termination.
The Wholesale Merchant agrees not to ship items in violation of applicable law, carrier tariffs, OFAC / sanctions lists, or the Platform’s Acceptable Use Policy. Restricted commodities include but are not limited to firearms, controlled substances, hazardous materials, perishables outside cold-chain programs, and counterfeit goods.
Carrier identities surfaced to the Wholesale Merchant’s customers are presented as neutral slot labels (Ship 1 / Ship 2 / Ship 3 / Ship 4). The Wholesale Merchant agrees not to disclose the underlying carrier identity, negotiated rate, or aggregator routing logic to third parties without written consent.
To the maximum extent permitted by law, the Platform’s aggregate liability under these Wholesale Terms is limited to the greater of (a) the fees paid by the Wholesale Merchant to the Platform in the three (3) months preceding the event giving rise to the claim, or (b) the recoverable limit under the applicable third-party protection product. The Platform is not liable for indirect, consequential, exemplary, or punitive damages.
These Wholesale Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Wholesale Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with venue in Wilmington, Delaware.
The Platform may modify these Wholesale Terms by posting an updated version. Material changes will be communicated by email or in-platform notification at least thirty (30) days prior to the effective date. Continued use of the Platform after the effective date constitutes acceptance.
